Audited Party definition
Audited Party means the Party being audited by the Auditing Party.
Audited Party shall have the meaning set forth in Section 5.3(b).

Examples of Audited Party in a sentence
In the event the Audited Party disputes the auditor’s initial findings, the Audited Party shall be entitled to provide supporting documentation and explanations to the auditor.
Such audits may be conducted during normal business hours upon reasonable prior written notice to the Audited Party, and not more than once per Calendar Year.
The cost of such audit shall be borne by the Auditing Party unless such audit discloses an underpayment by the Audited Party of more than [***] of the amounts due under this Agreement for the audited period, in which case, the Audited Party will bear the reasonable cost (including any fee paid by the Auditing Party to such auditor) of such audit.
