Vital Images and the Surviving Corporation (or any successor) shall be wholly responsible for their internal costs and the internal costs of their Affiliates (including the Surviving Corporation and any successor), and their agents and representatives, incurred in connection with the aforesaid examination if such examination does not reveal any Audit Discrepancy.
