The Auction Administrator will request from each Bidder, through the Dealers, instructions for transfer on the Auction Distribution Date to the Bidder (or its designee) of the Auction Certificates of each Class on which such Bidder is bidding in the event that such Bidder is the winning Bidder.
To the extent that the winning Qualifying Bid for an Auction Certificate is greater than the Par Price for such Auction Certificate, the Auction Administrator will notify the Auction Swap Counterparty of the amount to be paid on the Auction Distribution Date from Auction Proceeds by the Auction Administrator to the Auction Swap Counterparty, or its designee, under the Auction Swap Agreement.
