To the extent that the winning Qualifying Bid for an Auction Certificate is greater than the Par Price for such Auction Certificate, the Auction Administrator will notify the Auction Swap Counterparty of the amount to be paid on the Auction Distribution Date from Auction Proceeds by the Auction Administrator to the Auction Swap Counterparty, or its designee, under the Auction Swap Agreement.
In the event such Auction Certificate is not then held in book-entry form, the Holder of such Auction Certificate shall surrender such Auction Certificate to the Certificate Registrar for registration of transfer on the Auction Distribution Date to the winning Bidder (or with respect to an Auction Certificate for which no Qualifying Bid was received, if the Auction Swap Counterparty is CSI, to the CSS Designee).
In the case of an ERISA-Restricted Auction Certificate or an ERISA-Restricted Final Maturity Reserve Certificate that is a Book-Entry Certificate, for purposes of the first sentence of the preceding paragraph, such representations shall be deemed to have been made to the Securities Administrator by the transferee’s acceptance of such Certificates that are also Book-Entry Certificates (or the acceptance by a Certificate Owner of the beneficial interest in such Certificates).
The Administrative Agent and the Lenders shall have received all fees and expenses, if any, owing pursuant to one or more written agreements including without limitation, this Agreement.
Except for the occurrence of a Swap Termination Event, the Holder of each Mandatory Auction Certificate hereby agrees to tender its Certificate to the Trustee on the Mandatory Auction Distribution Date in exchange for the Par Price and acknowledges that the Trustee shall cause the Depository to terminate their ownership interest at that time.

No transfer of an Auction Certificate to a Plan shall be made prior to the Distribution Date in November 2012 unless the acquisition and holding of such Certificate are eligible for the exemptive relief available under Department of Labor Prohibited Transaction Class Exemption (“PTCE”) 84-14, 90-1, 91-38, 95-60 or 96-23, or some other applicable exemption.
