ATU Business definition

ATU Business means that part of the business of the Seller and other members of the Seller's Group, as at the Effective Time, which consists of the distribution within France of certain medicinal products, drugs or medical devices under the Temporary Authorisation for Use (Autorisations Temporaires d'Utilisation) procedure (such medicinal products, drugs or medical devices being referred to herein as the "ATU Products");
ATU Business means (x) the assets of Anchorage Telephone Utility (also known as ATU Telecommunications) used in its business as a local exchange carrier, (y) the outstanding capital stock of ATU Communications, Inc., MACtel, Inc., ATU Long Distance, Inc. and Peninsula Cellular Services, Inc. and (z) the ATU Minority Interests, in each case to be acquired by ACS pursuant to (and as specified in) the ATU Purchase Agreement.
