Promptly upon its occurrence, notice of the occurrence of any ERISA Event that, alone or together with any other ERISA Events that have occurred, could reasonably be expected to result in liability of ATTWS and its Subsidiaries in an aggregate amount exceeding $150,000,000.
Upon the Seller's request, an additional Purchase Group may be added to this Agreement at any time by the execution and delivery of a Joinder Agreement by the members of such proposed additional Purchase Group, the Seller, the Servicer, ATTWS, the Program Agent and each of the Managing Agents, which execution and delivery shall not be unreasonably refused by such parties.

Such financial statements present fairly, in all material respects, the consolidated financial condition and the results of operations of ATTWS as of such dates in accordance with GAAP.
ATTWS will provide to Bolt the ATTWS Deliverables in accordance with the terms of this Agreement, including Exhibit A hereto.
Settlement will be made in accordance with Qpass billing and remittance policies in effect from time to time, which policies will be provided by ATTWS to Content Provider.
ATTWS specifically reserves the right to restrict Bolt from referring PocketNet(R) Service and DMN Service: (a) on certain "non-authorized" rate plans; (b) to certain specifically enumerated Subscribers or potential Subscribers; (c) to certain classes of Subscribers or potential Subscribers, such as those that generated revenues above a specific level or governmental entities; and (d) by certain methods.
ATTWS hereby authorizes Bolt and Bolt hereby agrees to solicit and refer to ATTWS potential subscribers for PocketNet(R) Service and DMN Service, for activation solely through the Internet, under the terms set forth herein, and any policies and procedures concerning the conduct of Bolt's business relating to the solicitation or referral of potential subscribers prescribed from time to time by ATTWS, which policies and procedures are incorporated by reference in this Agreement .
As between the parties, ATTWS retains all right, title and interest in and to the ATTWS Deliverables and related ATTWS technology worldwide and the ATTWS Marks, subject to the license granted herein, along with all Intellectual Property Rights associated with any of the foregoing.
If the proceeds from a purchase have been collected by ATTWS and remitted to Content Provider, and such proceeds are later subject to a chargeback, credit or refund, then ATTWS will charge the appropriate amounts back to Content Provider by either offsetting such chargeback, credit or refund against any other amounts owed by Content Provider to ATTWS or invoicing Content Provider for such amounts.
