AT&T Microelectronics means the SBU of AT&T commonly referred to as "AT&T Microelectronics", a general description of the business of which (including a description of its Products, customers and markets) is set forth on Schedule A attached hereto and made a part hereof. "AT&T Operating Agreement" has the meaning ascribed thereto in the preamble.
