• For each phase of the Implementation Period, the Test Success Criteria for: each Test that the Service Provider must Achieve for the ATP Milestone or a Contract Performance Point (“CPP”) Milestone, are set out in Annex 4; and all other Tests shall be agreed between the Parties as part of the relevant Test Plan pursuant to paragraph 5.

• Purchaser’s aggregate liability under the ATP shall not exceed the sum of all ATP Milestone payments made thereunder as of its effective date of expiration (excluding any sums associated with the indemnity for Intellectual Property Rights infringement provided for under Article 5 above, for which the Purchaser shall remain liable).

• If this ATP expires without occurrence of Financial Close, Contractor shall: (i) be entitled to keep all ATP Milestone payments received from Purchaser under the ATP; and (ii) promptly deliver to Purchaser all Work-in-Process and any Deliverable Items available as of the ATP termination date, and the Parties, unless otherwise provided for in the ATP, shall have no further obligations towards each other and shall not be entitled to claim any damages whatsoever to the other Party.

• Upon such termination, Contractor will be entitled to keep all ATP Milestone payments received from Purchaser under the ATP; and (ii) promptly deliver to Purchaser all Work-in-Process and any Deliverable Items available as of the ATP termination date that have been paid for by Purchaser, and the Parties, unless otherwise provided for in the ATP, shall have no further obligations towards each other and shall not be entitled to claim any damages whatsoever to the other Party.

• If Purchaser fails to timely pay any ATP Milestone Payment due and payable to Contractor under the ATP, Contractor shall be entitled to stop all Work under the ATP.

• All Purchaser ATP Milestone payments shall be in both Euro and U.S. Dollars, as provided for below.

• Contractor shall not invoice any amount which when cumulated with other ATP Milestone payments previously made hereunder, exceeds the cumulative ATP Milestone payment amounts due and paid as of such date as reflected in this Article 4.

• Contractor may immediately terminate this ATP by issuance of written notice if any ATP Milestone payment due and owing hereunder is not paid within [***…***] days after such ATP Milestone was successfully completed and Contractor’s invoice was delivered to and acknowledged by Purchaser in accordance with the requirements of the ATP and the Contract.

• If such outstanding ATP Milestone Payment is not made within [***…***] days after the date of stop Work, then Contractor shall be entitled to immediately terminate the ATP by written notice to Purchaser in accordance with the provisions of Article 6.3(B) herein.

• The Supplier shall provide the Operational Services to meet or exceed the Service Levels from the ATP Milestone Date.

ATP Milestone means that you hold all the required output evidence referred to in the ATP Services that demonstrates successful completion of stages, 1, 4 and 5 of the Apprenticeship Transition Plan Record of Achievement and fully completed ATP document; “ATP Services” means the ATP Services that are described as such in paragraph 2.10 of the MA Specification 2021-2022, as may be amended from time to time in accordance with the variation provisions set out in the MA Contract 2021/22, and which form part of the Services, as described in the MA Contract 2021/22. Any reference to “Services” in the MA Contract 2021/22 shall accordingly be deemed to include reference to the ATP Services described in this variation, subject to any provision that may apply specifically to the ATP Services set out in this variation;

ATP Milestone means any Milestone where ATP is required before the Supplier can proceed with further activities or commence delivery of further Services; "Authority to Proceed" or "ATP" means the authorisation to the Supplier to commence certain activities and/or commence delivering any Services that are identified in the Implementation Plan or a Project Plan as requiring such authorisation; "CPP Milestone" means a contract performance point as set out in the Implementation Plan or a Project Plan, being the Milestone at which the Supplier has demonstrated that the relevant Service is working satisfactorily in its operating environment in accordance with Call Off Schedule 12 (Testing Procedures); "Current Mode of Operation" or"CMO" has the meaning given in Paragraph 1.2 of Part A of this Schedule; "Cutover" has the meaning given in Paragraph 1.5 of Part A of this Schedule; "Cutover Date" means the date by which all Novating Contracts should have been dealt with in accordance with this Schedule and as further detailed in the Detailed Implementation Plan; "EUS Longstop Date" means the 14th November 2025; "Exiting Contract" means a contract between the Buyer and an Incumbent Supplier; "FMO Milestone" means a Milestone which is designated as the FMO Milestone in the Implementation Plan or a Project Plan; "Future Mode of Operation" or"FMO" has the meaning given in Paragraph 1.4 of Part A of this Schedule; "Implementation Period" means the period in which the activities and Deliverables set out in the Implementation Plan are delivered (or are to be delivered); "In-Flight Projects" has the meaning given in Paragraph 5 of Part A of this Schedule;

ATP Milestone means the Milestone linked to the completion of the Workshop Readiness Checklist for the Operational Services set out in the Agreed Transition Management Plan;
