Spain Holdco 2 and certain Affiliates thereof have entered into the Acquisition Agreement (as defined below) in order to acquire substantially all of the assets of Atento Inversiones y Teleservicios S.A. (the “Acquisition”).

The ▇▇▇▇ Payment (including the Relevant Repayment Amount) may not be paid until the later of (i) the date that is fifteen (15) Business Days following the delivery of the ▇▇▇▇ Payment Notice and (ii) the final determination of the Atento Group Leverage Ratio in accordance with Clauses 7.3 and 7.4 below.
