At Employee definition

At Employee s Retirement on his Retirement Date, Employee shall resign as Chairman of the Board, and also resign from the Board if requested by the Board. Should Employee continue to serve on the Board after his Retirement Date, Employee shall thereafter be treated as an outside director on the Board, including for purposes of Board fees, options and other benefits paid to outside directors. In addition, Employee shall serve as a consultant to the Company during the Consulting Period, as defined in Section 16 below.
