The directors of ASUSA agree to vote in favor of such distributions as requested from time to time by TSET.
Since December 31, 1999, ASUSA has not incurred any Liability except Liabilities that (X) were incurred in the usual and ordinary course of business consistent with past practice, and (Y) are not, individually or in the aggregate, material to ASUSA's financial condition.
