Assumed Option Value definition
Assumed Option Value means (i) the aggregate number of Company Shares subject to Assumed Options outstanding as of immediately prior to the Effective Time, multiplied by an amount equal to (A) the Adjusted Purchase Price, less the Representative Expense Amount, less the Escrow Amount, less the Working Capital Escrow Amount, plus the Aggregate Option Exercise Price, divided by (B) the number of Fully Diluted Company Shares, less (ii) the Aggregate Assumed Option Exercise Price.
Assumed Option Value means the product obtained by multiplying (a) the total number of shares of Company Common Stock that are subject to and potentially issuable (without regard to vesting) under all Company Options that are issued and outstanding immediately prior to the Effective Time by (b) the sum of (1) the Preliminary Participation Amount plus (2) the Common Preference Amount.
