associated payment definition
associated payment means (i) the employer portion of any payroll Taxes imposed on or required to be paid by the Company, any Subsidiary or the Buyer, or any Affiliate of any of them, with respect to any compensatory payments which are Transaction Expenses, including, without limitation, the employer's portion of social security, Medicare and other similar Taxes, and (ii) any other payments incurred by any of the Company, any Subsidiary or the Buyer, or any Affiliate of any of them, with respect to such Transaction Expenses in either (i) or (ii) in excess of the amount such entity would have incurred during the year had the respective Transaction Expense not been incurred.
