Examples of Assignment Failure in a sentence
The Assignment Failure Amount shall be the sole recourse of Parent and the Buyer for an Assignment Failure; provided, that in no event shall payment of the Assignment Failure Amount pursuant to this Section 6.8 limit or restrict Parent’s and the Buyer’s available remedies under this Agreement or any of the Ancillary Agreements, or at law or in equity, for any claim not resulting from or arising out of an Assignment Failure.
