Assignment Executed in Blank means an Assignment in respect of the Loans and the Transferred Rights that are subject to this Participation, which has been executed in blank by Seller and consented to or acknowledged by any Entity the consent and/or acknowledgment of and/or notice to (if any) is required by the Credit Documents to assign the Loans and the Transferred Rights in connection with an Elevation (including, if applicable, Borrower and the Agent) other than the acknowledgement of the Agent required to assign the Transferred Rights in connection with an Elevation and, solely if (a) the Credit Agreement is not a Bilateral Facility, (b) the Credit Agreement includes multiple lenders (including Seller) holding loans as of the Agreement Date and (c) “Main Street Expanded Loan Facility” or “Nonprofit Organization Expanded Loan Facility” is specified as the applicable “Main Street Facility” in the Transaction Summary, then the consent of the Agent required to assign the Transferred Rights in connection with an Elevation.
