Examples of Assigned Payments in a sentence
Any Assigned Payments which come into Licensor’s possession shall be delivered promptly to Licensee, and Licensor agrees to forward to Licensee all original documentation supplied by any Sublicensees under the Existing Sublicenses relating to any taxes withheld by them from the Assigned Payments.
Buyer will, at its sole cost and expense, perform all the billing and collection of Assigned Payments due and to become due with respect to the Transactions sold and/or assigned under this Agreement.
Buyer shall have the option with respect to each Transaction (i) to provide pass-through service billing in accordance with Section 5.7 with respect to the applicable Contract or (ii) to purchase the Service Payments under the applicable Contract, and in either case Buyer shall at its sole cost and expense, perform all the billing and collection of Assigned Payments and Service Payments due and to become due with respect to such Transaction in accordance with the terms of this Agreement.
Except as contemplated by Sections 6.2 and 6.3 and by Service Agreements of Omnicell, Omnicell shall have no right or authority to, and will not, without the prior written consent of Buyer, (i) repossess or consent to the return of any Equipment or (ii) modify the terms of any Transaction, if such modification would adversely affect Buyer’s rights and remedies with respect to the Assigned Payments.
This Agreement covers the purchase and sale of Assigned Payments due under the original term of certain Contracts.
Buyer shall ▇▇▇▇ Customers and pursue the collection of all amounts due under such Transactions in accordance with its standard billing and collection procedures, but in no case shall Buyer be obligated to take any affirmative steps (including, without limitation, initiation of litigation or any other affirmative collection action(s)) to ▇▇▇▇ or collect any Assigned Payments.
The Facility Lease provides that (i) all payments constituting Assigned Payments shall be made to the Indenture Trustee at the Indenture Trustee's Office, (ii) all other payments other than Excepted Payments shall be made to the Lessor at such address as the Lessor may direct by notice in writing to the Lessee, and (iii) all Excepted Payments shall be made to the Person entitled to receive such payments.
Such Assigned Payments may be held by Lead Lender to reimburse Lead Lender for Reimbursable Expenses and other amounts owed by the defaulting Participant to Lead Lender.
In such event, each Participant hereby authorizes Lead Lender to distribute the Assigned Payments to Lead Lender as provided herein, and this assignments and authorization shall be absolute and irrevocable.
Escrow Agent shall notify BANK, LESSEE and BORROWER if LESSEE has failed to pay any payment of Assigned Payments by the third Banking Day after the date such payment is due.
