The customer is now an Assigned Customer to that Original Builder.
If a Sprint Assigned Customer exceeds the 3G Data Threshold in the Manager Service Area or a Manager Assigned Customer exceeds the 3G Data Threshold in the Sprint PCS Service Area, then the parties will attempt to limit that Customer's 3G data usage to the 3G Data Threshold in accordance with the then existing processes adopted by Sprint PCS for excessive 3G data usage and applicable law.
In the event Ditech is required to pay to any Assigned Customer after the Assignment Date any valid lien, debt, or expense incurred by Simulscribe prior to or after the Assignment Date, Ditech shall have the right to offset any such lien, debt, or expense actually paid by Ditech, which is the valid and legal obligation of Simulscribe, against any payment owed to Simulscribe by Ditech.
Ditech agrees to pay Simulscribe a one-time fee of Four Million US Dollars ($4,000,000) for the assignment of the Assigned Customer Agreements and the sole right to receive any fees due under such agreements after the Assignment Date as described in Section 4.
Payventures shall remain the primary agent of record with all rights to deal with the Assigned Customer.
Simulscribe shall provide Ditech with a full copy of the sales history for each Assigned Customer.
Effective on the Assignment Date, Simulscribe shall transfer and assign to Ditech the Assigned Customer Agreements and after the Assignment Date the Assigned Customers shall be Wholesale Customers and Simulscribe will continue to perform Services directly for the Assigned Customers.
The liabilities of the parties in respect of the Assigned Customer Contracts shall be as provided in Section 2.3(b) (Assumed Liabilities) and Section 2.4(b) (Excluded Liabilities).
The Buyer and the Seller agree to apportion any liabilities for commissions due to sales representatives engaged by the Seller in connection with the Assigned Customer Contracts so that they each shall bear a proportion of such liabilities corresponding to the percentage of revenues received and to be received under the Contract in respect of which the applicable sales representative has been engaged.
Such assignment shall not relieve Simulscribe of any liability or obligations under the Assigned Customer Agreements prior to or after the Assignment Date, Simulscribe will be responsible for all such liability and obligations, and Ditech will have no liabilities for and will not assume and such liability or obligations.
