Asset Spread definition

Asset Spread means, at close of business in London on each Business Day, the credit spread determined by the Calculation Agent for the purposes of calculating the Asset Market Value of each Reference Asset, being the market premium to unwind such Reference Asset which is representative of an offer-side Quotation. Although such Quotation may be given on the basis of an upfront premium, the Calculation Agent may convert such upfront premium at its sole discretion into a running premium for the purpose of determining the Asset Spread.

  • The total monetary consideration for the Transaction (the "Purchase Price") shall be Three Million Dollars ($3,000,000.00) minus the principal amount of Mortgage Debt as of the Closing Date, plus the increase, if any, in "Current Asset Spread" from December 31, 1996 to the Closing Date.
