The Asset Acquisition Fee and Asset Disposition Fee shall be based on the purchase price of the asset in question and shall be payable at the closing of the acquisition or disposition of each Fund Asset, as the case may be, or at such later time, in arrears, as the Manager may determine in its sole discretion.
In addition, the Manager or its affiliate shall be entitled to a one percent (1%) Asset Acquisition Fee and a one percent (1%) Asset Disposition Fee on each and every Fund Asset.
In the event such assets are sold by a joint venture in which the Company or the Operating Partnership is a member or partner, directly or indirectly, the Asset Disposition Fee shall be an amount equal to 1.0% of the total sale price of the property sold by such joint venture, subject to the provisions set forth below.
The Asset Disposition Fee shall be billed the month following the sale, collection or refinancing.
