Asset Data definition

Asset Data means all data, reports and other information held by ▇▇▇▇-▇▇▇▇▇ relating directly to the Assets and forming part of the property jointly owned by ▇▇▇▇-▇▇▇▇▇ and the other parties to an Operating Agreement in accordance with its terms, but excluding all internal communications within ▇▇▇▇-▇▇▇▇▇ and between ▇▇▇▇-▇▇▇▇▇ and its Affiliates and internal memoranda, reports, interpretations and documents created for ▇▇▇▇-▇▇▇▇▇’▇ (or its Affiliates’) own use and excluding Traded Data and the Asset Documents;

• By submitting an Asset Data Record hereunder, Seller shall be deemed to have represented and warranted the truthfulness and completeness of the representations and warranties set forth in Exhibit L hereto.

• Buyer shall have the right to revise or supplement the form of the Asset Data Record from time to time by giving prior notice thereof to Seller.

• Without limiting the generality of the foregoing, Seller acknowledges that Buyer shall purchase Assets from Seller based solely upon the information provided by Seller to Buyer in the Asset Data Records and the representations, warranties and covenants contained herein, and that Buyer, at its option, has the right, at any time to re-underwrite any of the Purchased Assets itself or engage a third party underwriter to perform such re-underwriting.

• Buyer will accept a funding draft upon confirmation of Seller’s compliance with the terms of this Agreement, including, without limitation, receipt by Buyer of the Asset Data Record prior to the date the funding draft was written, information contained on the funding draft is consistent with that previously provided to Buyer and the payee is an Approved Payee, as applicable.

• The information contained in the Asset Data Record is true, correct and complete.

More Definitions of Asset Data

Asset Data means any of the Customer Data which relates to an Asset, including any O&M files, health and safety files and [other examples to be specified];

Asset Data means a collection of records within a data source.

Asset Data means all information, data and projections respecting the Leases, as further defined in section 14.1;

Asset Data has the meaning given in clause 3.1(a). Associates has the meaning given to that term under Section 12 of the Corporations Act.
