The parties acknowledge and agree that irreparable damage will result to ASIG in the event that this Agreement is not specifically enforced.

The number of Shares which ASIG shall be entitled to receive upon each exercise of the Option shall be determined by multiplying the number of Shares which would otherwise (but for the provisions of this Section) be issuable upon such exercise, as designated by ASIG, by the fraction of which (a) the numerator is the Option Price in effect on the date hereof and (b) the denominator is the Option Price in effect on the date of such exercise.
The Company shall allow a maximum of one day off with pay per year to any employee who is an active member of the joint Health and Safety Committee at ASIG, to attend approved Health and Safety training sessions.
