Asbestos Matters definition

Asbestos Matters means (i) the adoption or failure to adopt any Federal or state legislation with respect to asbestos, including, but not limited to, the definition of any asbestos-related diseases, the standard of proof required to demonstrate the existence of any such disease, the jurisdictional or venue standards for bringing any case or claim involving personal injury or property damage as a result of exposure to any asbestos-containing product, or providing any funds for the compensation of any person due to, or establishing any methodology for measuring any damages caused by, alleged exposure to any asbestos-related products or capping or limiting such damages; (ii) any liabilities, losses or judgments incurred by the Company or any Company Subsidiary in connection with the defense or settlement of any action or claim for damages caused by exposure to any asbestos-containing product manufactured by the Company or any Company Subsidiary; provided that the Company or any Company Subsidiary has managed and settled or defended, as applicable, such action or claim in the ordinary course consistent with past practice; and (iii) any additions to the existing financial reserves for the Company’s asbestos liabilities reflected on the consolidated balance sheet of the Company at September 30, 2005, up to $500 million in the aggregate, and, for greater certainty, only the amounts added to such September 30, 2005 reserves in excess of $250 million may be taken into account in determining the existence of a Company Material Adverse Effect.
Asbestos Matters means any and all Losses (including, without limitation, any actual or alleged personal injury (including death) or property damage) relating to, incurred in connection with or arising out of: (i) the actual or alleged manufacture, processing, marketing, distribution, sale, assembly, treatment, storage, transportation, disposal, installation, removal, disturbance, dismantling, handling or use of Asbestos as of or prior to the Closing Date, by or on behalf of the Companies, any of their current or former Subsidiaries or Affiliates or any of their respective predecessors, in each case regardless of when such actual or alleged exposure, damage or injury occurs or occurred, when any such actual or alleged Losses become or became known or manifest or when any claim accrues; or (ii) the actual or alleged presence of or exposure of any Person to any Asbestos as of or prior to the Closing Date at any real property currently owned, operated, leased or occupied by the Companies, any of their current or former Subsidiaries or Affiliates or any of their respective predecessors or the actual or alleged presence of or exposure of any person to Asbestos prior to, as of, or after the Closing Date with respect to any real property formerly owned, operated, leased or occupied by the Companies, any of their current or former Subsidiaries or Affiliates or any of their respective predecessors, in each case regardless of when such actual or alleged exposure, damage or injury occurs or occurred, when any such actual or alleged Losses become or became known or manifest or when any claim accrues; provided, however, Asbestos Matters shall not include any costs associated with the Abatement of any Asbestos contained in any building materials or any other alleged property damage relating to Asbestos at any real property currently owned, operated, leased or occupied by the Companies or any Subsidiaries to the extent such Asbestos is in compliance with applicable Asbestos Laws as of the Closing Date.
Asbestos Matters means all matters in relation to asbestos howsoever arising including but not limited to assessment or review of any assessment of whether asbestos is present or is likely to be present in any premises , use , removal , management of risk , management or containment of or interface with asbestos that is or likely to be present in any premises , preparation or evaluation of action plans or systems for managing asbestos risk , repair , notification of work with asbestos or reduction of exposure, implementation control measures , or maintenance of control measures.

  • Environmental Matter means any past, present or future activity, event or circumstance in respect of the environment, health or safety including the Release of any Hazardous Substance including any substance which is hazardous to Persons, animals, plants, or which has a detrimental effect on the soil, air or water, or the generation, treatment, storage, use, manufacture, holding, collection, processing, treatment, presence, transportation or disposal of any Hazardous Substances.

  • Asbestos means the asbestiform varieties of serpentinite (chrysotile), riebeckite (crocidolite), cummingtonite-grunerite, anthophyllite, and actinolite-tremolite.

  • Friable asbestos material means any material that contains more than 1% asbestos by weight and that can be crumbled, pulverized, or reduced to powder when dry, by hand pressure.

  • Environmental Matters means any matter arising out of or relating to health and safety, or pollution or protection of the environment or workplace, including any of the foregoing relating to the presence, use, production, generation, handling, transport, treatment, storage, disposal, distribution, discharge, release, control or cleanup of any Hazardous Substance.

  • Environmental Releases means releases as defined in CERCLA or under any applicable state or local environmental law or regulation.

  • Hazardous Materials Activities shall have the meaning set forth in Section 3.20(b).

  • Adverse Environmental Condition means (i) the existence or the continuation of the existence, of an Environmental Contamination (including, without limitation, a sudden or non-sudden accidental or non-accidental Environmental Contamination), of, or exposure to, any substance, chemical, material, pollutant, Hazardous Substance, odor or audible noise or other release or emission in, into or onto the environment (including without limitation, the air, ground, water or any surface) at, in, by, from or related to any Equipment, (ii) the environmental aspect of the transportation, storage, treatment or disposal of materials in connection with the operation of any Equipment, or (iii) the violation, or alleged violation, of any Environmental Law, permits or licenses of, by or from any governmental authority, agency or court relating to environmental matters connected with any of the Equipment.

  • Environmental, Health and Safety Liabilities means any cost, damages, expense, liability, obligation or other responsibility arising from or under any Environmental Law.

  • Environmental Safeguards means the principles and requirements set forth in Chapter V, Appendix 1, and Appendix 4 (as applicable) of the SPS;
