Subject to satisfaction of the conditions set forth in Section 3.03, the foregoing assignment shall be deemed to occur immediately prior to the effectiveness of the ARRPA.
No failure or delay by the Agent in exercising any right, power or privilege under this Agreement or the ARRPA shall operate as a waiver thereof nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power or privilege.
