The Parent agrees that it shall, and shall cause their Affiliates to, maintain and treat any data in such Archived Files in accordance with Section 5.05 as if such Archived Files are the Acquiror’s confidential information and shall, and shall cause their Affiliates to, maintain and dispose of such Archived Files in accordance with applicable Law.
AIG agrees that it will retain the Archived Files that relate to the Company Entities for no less than three (3) months after the First Time of Delivery after which AIG may recycle or discard such Archived Files.
The Parent shall provide the Acquiror, at the Acquiror’s expense, reasonable access to the Archived Files relating to the Company or the Transferred Subsidiaries during normal business hours, to the extent that such Archived Files have not been disposed according to this Section 5.04.
The Seller and the Parent agree that they shall, and shall cause their Affiliates to, maintain and treat any data in such duplicate Archived Files in accordance with Section 6.05 as if such Archived Files are the Other Party’s Confidential Information and shall, and shall cause their Affiliates to, maintain and dispose of such Archived Files in accordance with applicable Law.
The Parent agrees that it shall, and shall cause their Affiliates to, maintain and treat any data in such duplicate Archived Files in accordance with Section 5.04 as if such Archived Files are the Other Party’s Confidential Information and shall, and shall cause their Affiliates to, maintain and dispose of such Archived Files in accordance with applicable Law.
The Parent shall, and shall cause its Affiliates to, provide the Acquiror, at the Acquiror’s expense, reasonable access to the Archived Files relating to the Companies or the Transferred Subsidiaries during normal business hours, to the extent that such Archived Files have not been disposed according to this Section 5.03.
AIG agrees that it will retain the Archived Files that relate to TRH and the Company Subsidiaries for no less than three (3) months after the First Time of Delivery after which AIG may recycle or discard such Archived Files.
The Seller or the Parent shall provide the Acquiror, at the Acquiror’s expense, reasonable access to the Archived Files relating to the Company or the Transferred Subsidiaries during normal business hours, to the extent that such Archived Files have not been disposed according to this Section 6.04.
The Parent agrees that it will retain, recycle and/or discard the Archived Files that relate to the Companies in a manner that is consistent with the practices and procedures of the Parent from time to time.
Parent agrees that it will retain the Archived Files that relate to the Business and the Transferred Subsidiaries for no less than three (3) months post-Closing, after which Parent may recycle or discard such Archived Files.
