AAGES is a global utility infrastructure company jointly owned by a Subsidiary of AQN and a Subsidiary of Abengoa, S.A. (“ABG”).
In furtherance of the foregoing, and subject to the conditions set forth in this Consent Agreement and the Plaza Stock Purchase Agreement, each of SUG, AQN and LG hereby agree that each shall cooperate in good faith in order to facilitate the acquisition of the Assets, the Assumed Liabilities and the Business by Plaza (as owned by AQN and LUC) as expeditiously as possible.

AQN hereby waives diligence, presentment, demand of performance, filing of any claim, any right to require any proceeding first against Buyer, protest, notice and all demands whatsoever in connection with the performance of its obligations set forth in this Section 13.19.
AY agrees to execute such documents and take such other action as may be reasonably requested by AQN to confirm and give full effect to the foregoing.
Prior to the earlier of termination of this Consent Agreement or the Plaza Closing, SUG agrees to provide access to the Business, the Subsidiary and the Assets to AQN to the same extent and on the same terms and conditions as set forth in Section 6.1(c) of the NEG Acquisition Agreement.
SUG further agrees that, unless and until the Plaza Stock Purchase Agreement is terminated, SUG shall cooperate with AQN to obtain any Consents or approvals from any third party or Governmental Body to the same extent it is obligated to do so with Plaza and LG under Section 6.3 of the NEG Acquisition Agreement.
Nothing contained in this Agreement, and no action taken by the Parties pursuant to this Agreement, shall be deemed to constitute a relationship between AQN and AAGES on the one hand and AQN on the other hand of partnership, joint venture, principal and agent or employer and employee.
On 5 March 2018, AQN, AAGES and the Company entered into a shareholders agreement setting forth, inter alia, certain governance rights and standstill obligations of AQN and AAGES in their capacity as shareholders of the Company (the “Shareholders Agreement”).
