Approved Technology definition

Approved Technology means (i) all Technology and Software initially provided by Micron or Photronics to the Company hereunder in accordance with Section 3, and (ii) all other Technology and Software that has been approved by the Technology Steering Committee for use in the Company.

  • The contemporaneous linking together by Approved Technology of a number of the Directors sufficient to constitute a quorum, constitutes a meeting of Directors and all the provisions of this constitution relating to meetings of the Directors apply, so far as they can and with such changes as are necessary, to meetings of Directors by Approved Technology.

  • The Design-Builder shall bear the responsibility and risk with respect to any pilot testing required by CDPH provided in Section 3.7 (Approved Technology and Pilot Testing).

  • Micron and Photronics shall each promptly notify Company of its knowledge of any actual or potential infringement of Intellectual Property Rights associated with the Approved Technology.

  • Accordingly, the Design-Builder shall cooperate with CDPH throughout the Design-Build Period and shall provide all reasonably requested information relating to the Design-Build Improvements to CDPH in accordance with Section 3.7 (Approved Technology) and 4.2 (Interim Operations Approval and New Domestic Water Supply Permit) If the Design- Builder believes that a request is unreasonable, it shall immediately notify the Owner.

  • Photronics will provide to the Company promptly after the Effective Date the Approved Technology listed on Exhibit D hereto.

  • The Technology Steering Committee, pursuant to the Technology Steering Committee charter attached hereto as Exhibit E, will create general guidelines setting forth the process for determining whether Technology, regardless of source, will be Approved Technology for use by the Company and will make such determinations in accordance with the charter and the guidelines.

  • This includes at a minimum, but not limited to; Copies of Monthly Service Provider Bills, Copies of Service Provider Contracts, Approved Free & Reduced Lunch numbers, Budget Information, Copy of Approved Technology Plan, Copy of CIPA Compliance, and “Authorized Contact” information.

  • Notwithstanding the foregoing, Business Associate agrees and acknowledges that it shall at all times use an HHS- Approved Technology for all Protected Health Information that is in motion, stored or to be destroyed.

  • A negative determination will not preclude the Technology Steering Committee from later determining that Technology does constitute Approved Technology.
