Approved Subprocessor definition

Approved Subprocessor means each: (i) Existing Subprocessor; and (ii) New Subprocessor;
Approved Subprocessor means as defined in Clause 6.11;

  • The Client instructs RB (and authorises RB to instruct each Approved Subprocessor) to process Client Personal Data, including to transfer Client Personal Data outside of the European Economic Area and the United Kingdom, as reasonably necessary to provide the Services.

  • The Processor promptly provide The Controller with information‌ regarding the Approved Sub-processor’s geographical location and the geographical location of any personal data processed hereunder, as well what kind of services and processing activities the Approved Sub-processor provides under the DPA as detailed in Appendix 2.

  • Where the Supplier proposes any changes concerning the addition or replacement of any Approved Sub-processor, it shall notify the University in writing as soon as reasonably practicable prior to implementing such change specifying: the name of any Sub-processor which it proposes to add or replace; the processing activity or activities affected by the proposed change; the reasons for the proposed change; and the proposed date for implementation of the change.

  • The Processor will enter into written contracts with such Approved Sub-processor guaranteeing at least a level of data protection and information security as provided for herein and in any event Processor will remain fully liable to the Controller for any breach of the Approved Sub-processor that is caused by an act, error or omission of the Approved Sub-processor.

  • The Processor shall ensure that any processing of the personal data by an Approved Sub-processor complies with the requirements set out under this DPA.

  • To the extent that any Restricted Transfer of ECITB Personal Data by the Supplier or an Approved Sub-processor takes place the Parties agree that the Standard Contractual Clauses will apply in respect of that Processing and the Supplier will enter into these as ‘data exporter’ and the Approved Sub-processor as the ‘data importer’.

  • Subprocessor means any person appointed by or on behalf of Processor to process Personal Data on behalf of the Company in connection with the Agreement.

System Protection Facilities shall mean the equipment, including necessary protection signal communications equipment, required to (1) protect the New York State Transmission System from faults or other electrical disturbances occurring at the Large Generating Facility and (2) protect the Large Generating Facility from faults or other electrical system disturbances occurring on the New York State Transmission System or on other delivery systems or other generating systems to which the New York State Transmission System is directly connected. System Upgrade Facilities shall mean the least costly configuration of commercially available components of electrical equipment that can be used, consistent with Good Utility Practice and Applicable Reliability Requirements, to make the modifications to the existing transmission system that are required to maintain system reliability due to: (i) changes in the system, including such changes as load growth and changes in load pattern, to be addressed in the form of generic generation or transmission projects; and (ii) proposed interconnections. In the case of proposed interconnection projects, System Upgrade Facilities are the modifications or additions to the existing New York State Transmission System that are required for the proposed project to connect reliably to the system in a manner that meets the NYISO Minimum Interconnection Standard. Tariff shall mean the NYISO Open Access Transmission Tariff (“OATT”), as filed with the Commission, and as amended or supplemented from time to time, or any successor tariff. Trial Operation shall mean the period during which Developer is engaged in on-site test operations and commissioning of the Large Generating Facility prior to Commercial Operation.
