Approved Management Fees definition

Approved Management Fees means any fees (excluding any special fees, bonus payments or similar amounts) payable pursuant to Section 3A of the Management and Operational Services Agreement that are expressly identified as such and (i) are included in an Operating Budget that has been approved by the Administrative Agent pursuant to Section 7.01(j)
Approved Management Fees. For each Borrower, a payment of a monthly management fee of $30,000 to Parent pursuant to Section 3 of the Management Agreement in effect as of the Closing; provided, however, that the payment of such Approved Management Fees shall, at all times, be subject to the terms of the Management Fee Subordination Agreement.

Examples of Approved Management Fees in a sentence

  • No Borrower shall pay any management, monitoring, consulting, advisory fees or other similar fees except for Approved Management Fees.

  • For the avoidance of doubt, no payment is required for any Approved Management Fees under this Agreement if such Approved Management Fees are properly accrued in accordance with Section 7.15 of the Company LLC Agreement, and any Approved Management Fees that are deemed paid pursuant to Section 7.15 of the Company LLC Agreement shall be deemed paid pursuant to this Agreement.
