Approved Hire definition
Approved Hire means with respect to any potential hire of the Business, a Person who meets all of the following criteria: such Person would be (i) hired for a position that is not described on Schedule 7.1(v)(ii) hereto, and (ii) hired during the period on or after the date of this Agreement and prior to Closing Date, (iii) filling a budgeted vacant position, (iv) employed at-will, and (v) paid a salary that is equal to or less than the salary approved and budgeted for such position in the 2008 budget provided to Purchaser as of the date of this Agreement. For avoidance of doubt, no employee who reports directly to B▇▇▇▇ ▇▇▇▇▇▇▇ shall be considered an Approved Hire.
