Borrower shall expend all funds received from Lender pursuant to this Agreement only for the purpose of completion of the project described in the Loan Approval Statement attached hereto as Attachment A-1 (hereinafter, “Project”), the Engineering Report (as defined in Attachment A-1), and Borrower’s Loan Application.
If Licensee desires to obtain a license to use additional marks or to use marks previously licensed for additional products or purposes, Licensee must submit another License Request in accordance with the Guidelines (defined below); if OpenPOWER issues an additional Application Approval Statement in response to such additional License Request, such additional Application Approval Statement shall automatically become part of this Agreement and shall be governed by its terms.

If Buyer or Singer believes manifest error has occurred in the preparation of a Platform Approval Statement or an Earnout Statement, as the case may be, such party will inform the other party in writing within five (5) Business Days of delivery of the applicable Statement.

Upon execution by both OpenPOWER and Licensee, this Agreement, together with the Application Approval Statement and the Guidelines, contains the entire agreement of the parties with respect to the subject matter hereof, and shall supersede and merge all prior and contemporaneous communications.
If Buyer exercises the CPB Loan Assumption Option, Buyer shall have obtained, on terms and conditions satisfactory to Buyer in its sole and absolute discretion (subject, however, to Seller’s approval of the terms and conditions of Seller’s Assumption Requirements, in the exercise of Seller’s sole discretion), a CPB Assumption Approval Statement prior to the expiration of the Due Diligence Period.
