Approval Acknowledgment definition
Approval Acknowledgment means each of (i) the written acknowledgment executed by the Administrative Agent (or the successor thereto) that it will execute the Agent Consent and all Definitive Documentation to which it will be a party on the date the Qualified Exchange Offer is consummated and (ii) if applicable, one or more amendments to the Credit Agreement (other than the Revolver Amendment) that may be agreed-to by the Company in connection with the foregoing to the extent the Company determines in good faith, in consultation with the Supporting Noteholders, that such amendments are required to obtain the acknowledgment described in clause (i).
