Appointed Representatives means a person who acts as an appointed representative in accordance with Section 39 of the FSMA;

Appointed Representatives means a person who is party to a contract with an authorized person which permits or requires him to carry on certain regulated activities, as further defined in the FCA Rules;

• Any dispute, controversy or claim arising out of, in connection with, or in relation to the interpretation, performance, nonperformance, enforceability, validity, termination or breach of this Lease, whether arising in contract or tort, between the Parties (each, a “Dispute” and, collectively, “Disputes”) shall first be referred by either Party for amicable negotiations by the Appointed Representatives by providing written notice of such Dispute in the manner provided by Section 18 (a “Dispute Notice”).

• Appointed Representatives shall be noted by Addendum to this Agreement.

• The Appointed Representatives shall have the authority to resolve any such disputes.

• The statute of limitations applicable to the commencement of a lawsuit shall apply to the commencement of an arbitration hereunder, except that no defense based on the running of the statute of limitations will be available based upon the passage of time during the period that the parties are engaged in mediation pursuant to this paragraph or pre-mediation negotiations between their Appointed Representatives.

• For the avoidance of doubt, all the terms of this Agreement shall remain fully enforceable on Appointed Representatives and ultimately the Sub Agent.

• As such it expects its advisers and Appointed Representatives to observe and abide to Vision's Code of Ethics and Treating Customers Fairly procedures.

• You will provide to us on our request the names, addresses and business details of the advisers, employees, agents, Appointed Representatives and other firms you have engaged to conduct Business with us.

• We may accept introductions from Appointed Representatives, employees, directors and agents and other firms you have engaged to do business with us.

• As such it expects its advisers and Appointed Representatives to observe and abide to our Code of Ethics and Treating Customers Fairly procedures.Further details on these are available upon request.
