To such end the parties must within 10 Business Days of a dispute arising convene a meeting between their authorised representatives and any other relevant members of management having regard to the matter under discussion (together, Appointed Persons) to attempt to resolve the dispute.
If the Appointed Persons do not reach such a settlement within 10 Business Days of the meeting convened in accordance with clause 28.1 , the dispute shall be decided by the English Courts in accordance with clause 30.
If the Appointed Persons agree upon a resolution or disposition of the dispute, they will sign a statement setting out the terms of the resolution or disposition and the Parties will ensure that the resolution or disposition is fully and promptly carried out.
In the event funds transfer instructions, address changes or change in contact information are given (other than in writing at the time of execution of this Escrow Agreement), whether in writing, by facsimile or otherwise, the Escrow Agent is authorized, but is under no duty to seek confirmation of such instructions by telephone call-back to the applicable Appointed Persons, and the Escrow Agent is entitled to rely upon the confirmation of anyone purporting to be such Appointed Person.
If the Appointed Persons do not reach such a settlement within a further period of fourteen (14) working days (the “Negotiation Date”), the negotiations end.
The Appointed Persons and telephone numbers for call-backs may be changed only in writing actually received and acknowledged by the Escrow Agent and will be effective only after the Escrow Agent has had a reasonable opportunity to act on such changes.
The Purchaser will also supply full information of all the aspects related to the Products’ orders by the Appointed Persons and, therefore, with those persons with whom the Purchaser refrained from doing business.
The Escrow Agent shall have no duty to provide Parent, the Securityholder Representative or their respective Appointed Persons with any Claim Notice or Claim Response.
