  • The failure of a Party at any time to require performance of any obligation under this Application Licence & Services Agreement is not a waiver of that Party's right: to insist on performance of, or claim damages for breach of, that obligation unless that Party acknowledges in writing that the failure is a waiver; and at any other time to require performance of that or any other obligation under this Application Licence & Services Agreement.

  • Fees means the fees charged by Advvy to the Agency and payable by the Agency to Advvy for the Application Licence and/or Services and associated professional services, as set out in this Application Licence & Services Agreement or as agreed between the Parties.

  • COMPLIANCE WITH REGULATORS If, during the Term of this Application Licence & Services Agreement, a Party receives a Notification in respect of an item of work that comprises the Services, it must notify the other Party in writing within 2 Business Days of receiving such Notification.

  • Agency acknowledges and agrees that the Agency has the sole responsibility for the storage, form, completeness, accuracy, quality and legal compliance of all Data and that the ability of the Application to perform in the manner specified in this Application Licence & Services Agreement is subject to the form, completeness, accuracy, quality and legal compliance of the Data.
