Applicable VWAP definition
Applicable VWAP means the Daily VWAP, Extended Daily VWAP, Hourly VWAP or Extended Hourly VWAP, as applicable.
Applicable VWAP means, on any day, ninety percent (90%) of the daily VWAP for such day, if such day is a Trading Day or, if such day is not a Trading Day, for the immediately preceding Trading Day.

Each Waiver Payment Conversion Notice must specify the amount of the Waiver Payment (including any default interest) being converted, the Applicable VWAP, and the number of Stock Option Shares issuable to the Purchaser.

More Definitions of Applicable VWAP
Applicable VWAP means the VWAP Price on the VWAP Trading Day immediately after the date of this Exchange Agreement; provided that if a VWAP Market Disruption Event of the type described in clause (ii) of the definition thereof (a “Type 2 Disruption Event”) occurs on the VWAP Trading Day immediately after the date of this Exchange Agreement, as determined by the Company in good faith and a commercially reasonable manner, then the Company shall determine in good faith and a commercially reasonable manner the portion of the VWAP Trading Day (expressed as a fraction less than one) that elapsed prior to the occurrence of such Type 2 Disruption Event (the “Day 1 Proportion”), and the Applicable VWAP shall instead be calculated as the sum of (A) the product of (i) the VWAP Price for the period prior to the occurrence of such Type 2 Disruption Event on the VWAP Trading Day on which such Type 2 Disruption Event occurred and (ii) the Day 1 Proportion, plus (B) the product of (x) the VWAP Price on the next VWAP Trading Day (which VWAP Price, for the avoidance of doubt, will be the VWAP Price for the entire regular trading session for such VWAP Trading Day rather than for any particular portion thereof, unless a Type 2 Disruption Event occurs on such VWAP Trading Day, in which case, the provisions of clause (II) of the immediately succeeding sentence will apply) following the VWAP Trading Day on which such Type 2 Disruption occurred and (y) 1 minus the Day 1 Proportion. If any such Type 2 Disruption Event occurs, (I) the Company will determine the Day 1 Proportion and the VWAP Price set forth in clause (A)(i) above in good faith and a commercially reasonable manner and notify the Investor prior to 9:30 am New York City time on the following Scheduled Trading Day and (II) if more than one Type 2 Disruption Event occurs during the period of VWAP Trading Days over which the VWAP Price is determined, then the Company will apply the provisions above in good faith and in a commercially reasonable manner mutatis mutandis to such successive Type 2 Disruption Event(s) to determine the relevant daily proportions and daily VWAP Prices for such VWAP Trading Days and notify the Investor thereof in accordance with clause (I). 1 To be the latest note trading price as of signing. 2 Takeout price to be agreed upon with investors.
