Applicable Share Amount means, with respect to any Stockholder, a dollar amount equal to (a) the Closing Merger Consideration multiplied by (b) such Stockholder’s Applicable Percentage.

  • The Estimate Statement shall also include the Company’s good faith initial determination of the Applicable Share Amount for each class and series of Company Stock and each Warrant based on the Estimated Merger Consideration.
