Applicable Offering definition

Applicable Offering means an offering of Company Ordinary Shares for cash whether in connection with a public offering of Company Ordinary Shares by the Company, a public offering of Company Ordinary Shares by shareholders other than the Investor, or both, but excluding an offering relating solely to an employee benefit plan, including an offering registered on Form S-8 (or successor form), an offering relating to a transaction on Form S-4 (or similar form that relates to a transaction subject to Rule 145 under the Securities Act or any successor rule thereto) or an offering on any Registration Statement form that does not permit secondary sales.

Examples of Applicable Offering in a sentence
