These are the General Terms and Conditions for International Monetary Fund Series A and Series B Notes that are referred to in the Applicable Note Purchase Agreement, as defined below, and in the Notes described therein and herein.
Except in the case of a default in the payment of the principal of or interest with respect to any Applicable Note, or in the payment of any sinking fund installment with respect to the Notes, the Trustee shall be protected in withholding such notice if and so long as an authorized officer of the Trustee in good faith determines that the withholding of such notice is in the interest of the Noteholders.
The number of shares of Conversion Stock which the Holder shall be entitled to purchase prior to the Expiration Date shall be equal to the quotient of (A) twenty-five percent (25%) of the principal amount of the Applicable Note divided by (B) the applicable Exercise Price.
The Trustee shall not give notice of a default in the payment of the principal of or interest with respect to any Applicable Note until at least sixty (60) days have passed since its occurrence.
For the purposes of this Warrant, “Conversion Stock” shall mean (a) Series B Preferred Stock until such time as the conversion of the Applicable Note and thereafter, (b) the class or series of the Company’s Preferred Stock received by the Holder upon the conversion of the Applicable Note.
Such Purchaser is acquiring the Applicable Note and the Applicable Warrant, and, upon conversion of such Applicable Note, will acquire the Note Shares, and, upon exercise of such Applicable Warrant, will acquire the Warrant Shares, in the ordinary course of business for its own account and not with a view toward, or for resale in connection with, the public sale or distribution thereof.
Unless otherwise specified in the Applicable Note and Pricing Supplement, the Issuer may exercise such option by notifying the Issuing and Paying Agent of such exercise at least fifty (50) but no more than sixty (60) days prior to the Stated Maturity in effect prior to such exercise (the "Original Stated Maturity") .
The Company hereby agrees that at all times after the date of conversion of the Applicable Note, there shall be reserved for issuance and delivery upon exercise of this Warrant such number of shares of Conversion Stock from time to time issuable upon exercise of this Warrant and, if applicable, such number of shares of Common Stock into which those shares are convertible.
The Existing 2013 Note Security Agent and the Existing 2015 Note Security Agent, on behalf of the Applicable Note Parties, and the Bank Security Agent, on behalf of the Bank Parties, hereby directs the Collateral Agent to enter into the Temporary Control Agreement, and agrees to and ratifies the Collateral Agent’s execution and delivery thereof.
Each Note Security Agent hereby represents and warrants that such Note Security Agent has the power and authority to act hereunder on behalf of each Applicable Note Party (such Note Security Agent shall be deemed to have remade this representation and warranty on each date upon which such Note Security Agent takes any action under, or accepts any payment made pursuant to, this Agreement).
