Applicable Carrier definition

Applicable Carrier means, as of any date, with respect to any Aircraft, the Eligible Carrier that is leasing such Aircraft from the applicable Aircraft Owning Entity or an Applicable Intermediary, on such date.
Applicable Carrier means, with respect to any Financed Aircraft, the Eligible Carrier that has leased such Financed Aircraft from the Applicable Borrower, or from the Applicable Intermediary in accordance with Section 2.15.
Applicable Carrier means the person, corporation, partnership, firm or other entity in control of the satellite, satellite transponder, microwave link, uplink, downlink, analog copper and/or fiber optic facilities being used to provide the Communications Services.

Examples of Applicable Carrier in a sentence

  • Upon the request of any Borrower, the Agent (on behalf of itself and the Lenders) will confirm the immediately preceding sentence in writing to any Applicable Carrier.

  • GATS shall have the right to terminate this Agreement and the Communications Services provided hereunder without liability to Customer in the event that GATS, its officers, employees or agents, or the Applicable Carrier, its officers, employees or agents, becomes the subject of any investigation, or is threatened with or made a party to any administrative proceeding or litigation, related to the alleged illegal use of the Communications Services by the Customer.

  • Customer and each Customer Agent will follow the established practices and procedures of the Applicable Carrier for frequency coordination and will not utilize the Communications Services in a manner which, under standard engineering practice, would or might interfere with the use of or cause physical harm to any satellite transponder, the satellite or any other communications facility.

  • The Borrower shall not, and shall not cause or permit any Borrower Subsidiary to represent or hold out, or permit any Applicable Carrier or Owner Trustee to represent or hold out, the Collateral Agent, the Administrative Agent, any Funding Agent or any Lender as (i) the owner or lessor of any Aircraft, (ii) carrying goods or passengers on any Aircraft, or (iii) being in any way responsible for any operation of carriage (whether for hire or reward or gratuitously) with respect to any Aircraft.

  • Fully-Protected" transponders, in the event --------------------------- of failure, shall be restored by the Applicable Carrier using spare equipment that may be available on the satellite at the time of failure, or on a comparable transponder on the same satellite, or on another Applicable Carrier satellite then in orbit, except when the failure is caused by Customer.

  • The Borrower shall not, and shall not cause or permit any Borrower Subsidiary to represent or hold out, or permit any Applicable Carrier or Owner Trustee to represent or hold out, the Collateral Agent, the Administrative Agent or any Lender as (i) the owner or lessor of any Aircraft, (ii) carrying goods or passengers on any Aircraft, or (iii) being in any way responsible for any operation of carriage (whether for hire or reward or gratuitously) with respect to any Aircraft.

  • Represent or hold out, or permit any Applicable Carrier to represent or hold out, the Agent or any Lender as (a) the owner of any Financed Aircraft, (b) carrying goods or passengers on any such Financed Aircraft, or (c) being in any way responsible for any operation of carriage (whether for hire or reward or gratuitously) which may be undertaken by any Borrower, Guarantor, Subsidiary or Applicable Carrier.

  • In the event of nonpayment of any sum due, or of any violation of the Communications Act of 1934, as amended, or any Rules, Regulations or Orders of the FCC or of the terms of this Agreement by Customer, or the imposition by the FCC or any governmental authority having jurisdiction of conditions on the provision of Communications Services which are unacceptable to GATS or the Applicable Carrier, GATS may either temporarily deny service or terminate the service without incurring liability to Customer.

  • Notwithstanding the foregoing, Aircraft and Engines may only be re-registered in (i) the United States, (ii) the country in which the Applicable Carrier is organized, or (iii) subject to the limitations of subsection (f) of the definition of Eligible Aircraft, the country of another Eligible Carrier.

  • Customer shall not, and shall not have the right to, grant, sell, assign, encumber, permit the utilization of, license, lease, sublease or otherwise convey, directly or indirectly, in whole or in part, voluntarily or by operation of law, any of its rights under this Agreement without the express written permission of GATS and/or the Applicable Carrier.


More Definitions of Applicable Carrier

Applicable Carrier means, with respect to any Financed Eligible Asset, the Eligible Carrier that has leased such Financed Eligible Asset from the Applicable Borrower, or from the Applicable Intermediary in accordance with Section 2.15.
