Applicable Basket means (a) with respect to the Organizational Representations and Warranties, $25,000,000 and (b) with respect to the Business Representations and Warranties (i) relating to the Empress System or the Empress System Business, $5,000,000 and (ii) relating to the Canadian Assets Business or the Canadian Assets Subsidiaries, $7,000,000.

Examples of Applicable Basket in a sentence

  • Notwithstanding paragraph (a) above, an amendment, modification or waiver of Section 7.17 (a), (b) or (d) or of any covenant or agreement of any Loan Party specified herein by reference to an Applicable Basket Amount where such covenant or agreement is violated with respect to the Senior Lenders but not as to the Second Lien Lenders shall require only the written consent of the Required Senior Lenders (or by the Administrative Agent with the consent of the Required Senior Lenders) and the Borrower.

  • If the aggregate amount of Damages sustained by the other Parties and their respective Affiliates as described in Section 10.1 exceeds the Applicable Basket then the other Parties and their Affiliates shall be entitled to assert claims under this Article X for indemnification for the amount of such Damages in excess of the Applicable Basket only; provided that Company’s obligation under this Article X shall not exceed the Applicable Cap in the aggregate.
