APPI means the Asian Petroleum Price Index, or any successor report, prepared by KPMG Corporate Services Limited, Hong Kong or its successor and reported on the Energy Market Information Service or its successor.

• APPI shall cause Gencell to assume the those obligations of APPI under this Voting Agreement that relate to any Introgen Shares transferred by APPI to Gencell in accordance with Section 2.

• APPI shall have the right to have Gencell assume those obligations of APPI under this Voting Agreement that relate to any Introgen Shares transferred by APPI to Gencell in accordance with Section 2.

• If Arcules will process Personal Data subject to the APPI, Appendix 2 will apply to such processing.

• If Ambar fails to meet the stated minimum purchase requirements or fails to make timely payments in accordance with this Agreement then APPI shall treat such action as a material default and may terminate this Agreement and/ or seek liquidated damages from Ambar.

• If this Agreement is terminated by Ambar, Ambar acknowledges to fulfill payment to APPI for both of the minimum purchase requirements as outlined in Section 3 above.
