For purposes of this Agreement, the terms “Initial Investors” and “Initial Investors and their affiliates” as used in the Plan and in this Agreement, including, without limitation, as applied to the “Change of Control” definition under the Plan, is hereby modified so that such terms are understood to include only Oaktree Capital Management, L.P. and its Affiliates and to exclude Apollo Management VII, L.P. and its Affiliates.

The Company shall be entitled to rely upon any written notice, designation, or instruction signed by Apollo Management IV, L.P. and BCP (the "Representatives") as a notice, designation or instruction of all Shareholders and the Company shall not be liable to any Shareholder if the Company acts in accordance with and relies upon such writing.
Such special purpose financial statements will be prepared for purposes of complying with this Agreement and are not intended to be a complete and fair presentation of such Apollo Management Companies financial statements in conformity with GAAP by virtue of the Specified Exception.
This Agreement may be terminated (i) at any time prior to the Closing Date by mutual agreement of the Company, Apollo Management and Blackstone Management, on behalf of all purchasers, or (ii) if the Closing shall not have occurred on or prior to December 31, 2003, by either the Company, Apollo Management or Blackstone Management, at any time after December 31, 2003.

The provisions of this Agreement may be amended at any time and from time to time, and particular provisions of this Agreement may be waived or modified, with and only with an agreement or consent in writing signed by the Company and Apollo Management.
