  • The Parties intend this Agreement to be a full, final and complete release of any and all claims that either of them may have against the other as of the Effective Date that arise out of or are related to the APMF And Letter Agreements.

  • This limitation of liability applies only to any cause of action arising out of the APMF and Letter Agreements.

  • Each Party fully and finally releases, discharges, and settles all claims or causes of action, known or unknown, arising out of or relating to the APMF and Letter Agreements.

  • In the event that this Agreement is terminated prior to the expiration of the Term, Curia would provide a credit to Indivior for the pro-rated portion of the APMF for such partial Contract Year, unless Curia terminates based on Indivior's material breach of this Agreement, in which case, no such proration shall occur.

  • Indivior shall pay to Curia an Annual Product Maintenance Fee ("APMF") for each Product manufactured per Facility.

  • HBV means hepatitis B virus.

  • Original manufacturer means the original component manufacturer, the original equipment manufacturer, or the contract manufacturer.

  • Independent living program means a program designed to assist a juvenile to enhance skills and abilities necessary for successful adult living and may include but shall not be limited to minimal direct staff supervision and supportive services in making the arrangements necessary for an appropriate place of residence, completing an education, vocational training, obtaining employment or other similar services;
