Without limitation upon the provisions of Section I of this Schedule, the Recipient, represented by APIX, shall administer the Matching Grants through the Matching Grants Management Team, in accordance with the provisions and procedures set forth in this Section III and in more detail in the PIM, and accordingly, the Matching Grants Management Team shall appraise, and monitor the activities under Part B.2 of the Project which shall be approved as referred to in paragraph 2 (d) of this Section.
APIX shall submit to the Association by November 30 of each year annual budgeted work plans for the activities of the Project in form and substance satisfactory to the Association.
The Recipient shall cause APIX to furnish to the Association: (a) by the end of each calendar semester, a progress report on the implementation of APIX business plan and key monitoring indicators, satisfactory in form and substance to the association; and (b) APIX’s business plan not later than July 30, 2010, containing performance indicators and an annual budget and satisfactory in form and substance to the association.
The Recipient and APIX shall ensure that at all times during Project implementation, the DDTH Resettlement Unit and the Environmental and Social Unit shall work in close coordination and under a common management unit and shall closely coordinate with the APIX Field Office, the local liaison committees, resettlement urban committees, and implementing and monitoring partners.
The Recipient shall take the necessary measures so that APIX ensure the overall quality control of the environmental and social aspects of the Project through the review and clearance of the instruments described in paragraph 2 of this Section I.D and validation of the environmental and social audits to be submitted at the end of the execution of the works.
The Recipient shall, for purposes of each Subproject and including wherever required under the terms of any of the Basic Social and Environmental Safeguard Instruments, proceed, and have the Concessionaire, AGETIP and APIX proceed, where applicable, to have any one or more Supplemental Social and Environmental Safeguard Instruments: a) developed; b) submitted to the Association for review and approval; and c) thereafter adopted, prior to implementation of the Subproject.
The Recipient shall establish and thereafter maintain at all times during the implementation of the Project, a Project team within APIX, in form and with functions, staffing and resources satisfactory to the Association which shall be under the administrative authority, and subject to the monitoring and supervision of PSC, to which it will report on a semiannual basis.
In addition, such Underwriters agree to provide the Servicer, no later than the date on which the Prospectus is required to be filed pursuant to Rule 424, with a definitive copy of its Derived Information with respect to such Certificates provided by the Underwriters for filing with the Commission on Form 8-K.
To this end, APIX shall be maintained in form and substance and with resources and functions satisfactory to the Association, including staff from APIX, all with qualifications, experience and terms of reference satisfactory to the Association.
