API Cost definition

API Cost means the Cost of Goods of API.
API Cost for a Product means the actual cost paid by Shire on a pass-through basis for the active pharmaceutical ingredient in such Product.
API Cost shall have the meaning defined in Section ‎5.1.

  • In respect of any recall due in whole or material part, to a Supplier Recall Responsibility, Supplier shall reimburse the Buyer for an amount equal to the lesser of (i) ten percent (10%) of the total API Cost of the amount of API consumed in the recalled Product or (ii) on a calendar year basis, a maximum of one hundred and fifty thousand dollars ($150,000).


More Definitions of API Cost

API Cost for a Shire Product means the actual cost paid by Duramed on a pass-through basis for the active pharmaceutical ingredient in such Shire Product. For the avoidance of doubt, all raw material and manufacturing costs of cervical and vaginal rings in a Shire Product shall not be included in the API Cost.
