Examples of APA Claim in a sentence

  • Buyer and its Affiliates (including, after the Closing, Company) shall pursue, handle and conduct any such APA Claim in consultation with Parent, shall select counsel to pursue such APA Claim that is reasonably satisfactory to Parent, shall keep Parent fully informed of the status of such APA Claim, and shall take such action as to enable Parent, at its option, to participate in any proceedings relating to the APA Claim with counsel of Parent’s choice at its own expense.

  • Buyer or its Affiliates may not settle, compromise or otherwise resolve the APA Claim without Parent’s written consent, which shall not be unreasonably withheld, conditioned or delayed.
