AP Biotech means Amersham Pharmacia Biotech UK Limited and any affiliate of that Company where affiliate means any company controlling, controlled by or under common control with Amersham Pharmacia Biotech UK Limited, where control means direct or indirect ownership of at least 50% of the voting stock or interest in a company or control of the composition of the board of directors.

AP Biotech means Amersham Pharmacia Biotech AB and its affiliates. An affiliate shall consist of any entity that, directly or indirectly, is wholly-owned, or has not less than a majority of its voting power or economic interests owned, by Amersham Pharmacia Biotech Ltd.

AP Biotech means Amersham Pharmacia Biotech UK Limited and any branch of that company, where a branch means any company controlling, controlled or under common control with Amersham Pharmacia Biotech UK Limited, where control means the direct or indirect ownership of at least 50% of the voting shares or interests in the company, or control of the composition of the Board of Directors. "Group” means in relation to any companya company and any other company that is at least,the relevant time is a holding company or subsidiary of that company (as defined in s736 of the companies act 1985 as amended by the companies Act 1989), or a subsidiary of any such holding company (as defined in this way) and a “member” of the group has the relevant meaning. “Products " means all products supplied by Biochrom to AP Biotech for sale by AP Biotech, namely current tools and accessories.means every three-month calendar period during any year starting fromthis year and continuing successively after it. "RPI" means the retail price index published from time to time by the United Kingdom Department of trade and industry (or any other successor government Agency). "Territory" means areas of the world defined in the attached list a where AP Biotech is permitted to sell current tools and accessories. "Trademarks" have the meaning specified in section 13 (a) of these Rules. "Year" means any period fromfrom January to December 31, during which time this agreement remains in force. “First year " means the period beginning on the start date and ending on 31 December of the same calendar year.
