AOC Financial Statements has the meaning set forth in Section 4.4.
AOC Financial Statements means, collectively, the audited financial statements of AOC as at and for the years ended December 31, 2020 and 2019, together with the notes thereto and the auditors’ report thereon and the interim unaudited financial statements of AOC for the three month period ended March 31, 2021, together with the notes thereto;

The AOC Financial Statements have been prepared in accordance with generally accepted accounting principles applied on a consistent basis during the periods involved and fairly present the financial position of AOC as at the date thereof and the results of its operations and changes in financial position for the period then ended.
Except as reflected on the AOC Financial Statements, AOC has no debts, liabilities or obligations of any nature, whether accrued, absolute, contingent or otherwise.
