After Taxable Status Date each year the Agency shall determine the Annual PILOT, the Apportioned Share of the Annual PILOT and the School District Annual PILOT.
The Agency shall send an invoice to the Company for the Annual PILOT.
A schedule of the estimated Total PILOT is set forth in the "Total" column of the Annual PILOT Schedule attached hereto as Exhibit C for reference purposes.
Attached hereto for reference purposes, is Exhibit D, providing examples of an Annual PILOT Schedule based on the Company (or Eligible Tenant(s)) leasing portions of the Option Space.
It is understood and agreed that CN Associates and the Company may elect either option (i) or (ii) above at its discretion, but if a change in law occurs as provided in (iii) above, the Annual PILOT shall be paid as thereby required by law.
Notwithstanding anything in this Agreement, the Lease, the Project Employer Office Lease(s), or anything else to the contrary, Developer and/or Project Employer shall be fully liable and responsible for payment of the Annual PILOT and any and all other amounts required to be paid under this Agreement, including any and all payments under Section 7 or Section 9 of this Agreement.
If there are no Eligible Tenants and Eligible Square Footage in the Building at any time during the Term, the Annual PILOT and the Total PILOT shall be the same and shall be paid as described in Section 2(a) above.
Developer and the City have agreed that Developer shall be entitled to additional property tax abatement (and the Reduced Annual PILOT described in Section 2(b) above) if and to the extent that Developer can attract and lease portions of the Project to certain Project Employers as tenants of the Building.
Such payments shall be paid by or through Developer by separate check to the Treasurer of Johnson County, Kansas, or other appropriate officer, an amount which is equal to seventy-five percent (75%) of the Ad Valorem Taxes which would otherwise be due for the then-applicable taxable year for the Project if the Project were not exempt from ad valorem real estate taxation (the "Annual PILOT") as set forth in the Annual PILOT schedule attached hereto as Exhibit B (the “Annual PILOT Schedule”).
For example, if the Company fails to meet the Hotel Requirement for the tax year 2019, then, in addition to the Annual PILOT set forth in Section 2(a) hereof, the Company and/or CN Associates shall pay an additional amount equal to five percent (5%) of the Ad Valorem Taxes which would otherwise be due for the tax year 2019.
