Annual Offering definition
Annual Offering means an offering of Shares (as defined below) to Eligible Employees (as defined below) under the Foreign Subsidiary ESPP (as defined below) with an offering period of 12 months;

Any Holder wishing to include some or all of its Registrable Securities in the Annual Offering must then return a completed Selling Package to the Company within a time period specified in the notice.
No Offering shall count as both an Annual Offering and a Demand Offering.
The Company shall then use its reasonable commercial efforts to effect such Annual Offering as promptly as practicable, including permitting the sale of any Registrable Securities requested to be sold by any Holder, subject to the provisions of Section 3.04.
